Fladgate LLP has acted for Gü Rensow Limited (Gü), renowned for their melt in the middle chocolate puddings, on its £multi-million sale to Noble Foods, the UK egg producer and dessert manufacturer.
Corporate partner Avram Kelman led the cross-departmental team advising Gü, assisted by IP partner Eddie Powell and tax partner Huw Witty.
James Averdieck, Gü’s Managing Director, was inspired with the idea for a chocolate pudding brand when he worked in Belgium and fell in love with the local patisseries and their chocolate. Gü was founded through a joint venture with an existing company in 2003 and an investment of £100,000.
James, who will stay on as Managing Director, said: “Fladgate was an excellent choice for us. Not only could we draw on Avram’s great experience on similar deals, but also, because he has worked with us since the start, he really understood our business and the needs of both of the shareholders.”
Commenting on the deal Avram Kelman said: “It is particularly pleasing to have worked with a company from its inception and throughout the years as it has grown from a one man business, into a successful, multi-million pound company. The Gü transaction was complex, including a number of offshore jurisdictions and encompassing corporate/commercial law, IP issues, tax and employment aspects. This type of transaction highlights Fladgate’s particular expertise in advising entrepreneurial, owner managed companies. We are delighted with the outcome for James and the future growth of the Gü brand.”
