  • Advising the purchasers of two tranches of bank debt from Credit Suisse to the value of €89m and SFr227m. This complex transaction involved German properties, English banking law, companies registered in Gibraltar (with Luxembourg subsidiaries) and a multi-jurisdictional banking institution.
  • Advising a UK based syndicate on the refinancing of a multi-million facility owed to a US hedge fund by a UK based venture capital fund.
  • Acting for Weston Homes Plc as borrower on a rearrangement of their group financing, involving a reorganisation of their existing £105m facility plus a new £3.5m bilateral facility to enable the company to complete an important strategic acquisition.
  • Advising on the financing and banking aspects of the acquisitions of four commercial property portfolios in Switzerland, Belgium, Germany and Holland with an aggregate value of €2bn for two substantial offshore family trusts via Luxembourg and Gibraltar-based structures. The acquisition was backed by Morgan Stanley and Credit Suisse.
  • Advising Tadhamon Capital, administrators of a Yemini Shari’ah compliant bank, in respect of its first project in the UK involving a structure that complied with the requirements of a Shari’ah fund as well as the complex negotiations in relation to the property asset acquired.
  • Advising on a corporate reorganisation and £482m securitisation of a portfolio of 22 properties for the Fordgate Group. The CMBS notes were listed on the Irish Stock Exchange.
  • Acting on the reorganisation of global facilities for Arazim Investments Limited, involving real estate security in three different jurisdictions and borrowing entities in six jurisdictions, with the total facility being in excess of £100m. We advised on all aspects of the security documentation and facility agreements, involving at least 100 separate documents.
  • Advising on a £230m refinancing facility for a group of companies held by Camden Market Holding Corp in connection with the Japanese investment bank, Nomura International. The transaction was particularly complicated as the security comprised the borrower’s underlying large property holdings. These included the major tourist attraction and famous Stables Market site in Camden together with a vast development site, parts of which are currently trading as another market, “Camden Lock Market”, on the banks of the Regent Canal.
