Having advised multinational and Turkish clients throughout my career, I act for issuers and arrangers in equity and debt capital market transactions encompassing equity public offerings and debt instrument offerings. Additionally, I am extensively involved in various M&A transactions, with a particular emphasis on the sale and purchase of companies across diverse sectors, including banking, cement production, tobacco, media, retail and cybersecurity.

My approach to my clients is guided by two key principles: (1) Trust is difficult to build and very easy to lose. I have always striven to be a trusted legal adviser to my clients (2) my job is not just to highlight the legal obstacles, but also to be able to provide solutions.

Having played volleyball professionally for 14 years, I prize the value of team spirit. I firmly believe that operating as a team and working towards a common goal fosters not only fellowship and fulfilment but also success, be it in sports or business.

Experience

Advised Torunlar Group, a Turkish investment holding company and the majority owner of the second largest gas distributor in Turkey, Başkentgaz, on the acquisition of a 50% stake in AKCEZ, an electricity distribution, sale and services business, from ČEZ Group, which has exited its existing joint venture with Akkök Group in Turkey.

Advised the European Bank for Reconstruction and Development (EBRD) on its equity subscription to TFI TAB Gıda Yatırımları A.Ş., one of the largest global restaurant operators in Turkey, together with two other international investors.

Advised DP Eurasia N.V., the exclusive master franchisee of the Domino's Pizza brand for Turkey, Georgia and Azerbaijan, on its successful initial public offering and admission to listing on the premium segment of the UK Listing Authority (UKLA) and to trading on the London Stock Exchange. DP Eurasia is the first Turkish business to access the premium segment of the UK market – the "super-equivalent", and highest, standard of listing in the UK.

Advised Koç Holding A.Ş., Turkey's largest holding company, on its issue of USD 750 million 6.500% notes due in 2025 (Rule 144A/Regulation S).

Advised private equity company, Taxim Capital, on its successful acquisition of 100% of shares in Innovera, a Turkish company active in cyber security.
