Technology

We advise technology buyers and suppliers on the full spectrum of technology transactions - from software licensing, cloud computing (SaaS, IaaS, PaaS), and systems integration through to strategic platform builds, collaboration agreements, and complex multi-vendor procurement. From strategic planning to contract negotiation and implementation, we guide clients through the intricacies involved in buying and selling technology-related goods, services and solutions. We also have hands-on experience supporting clients when things go wrong, including advising on remediation and renegotiation of underperforming technology arrangements.

Outsourcing

We handle complex outsourcing transactions across IT, business processes (including finance and accounting, procurement and HR), and facilities management, advising both customers and suppliers on deals that span multiple jurisdictions and involve multiple stakeholders. Our recent work includes advising on a billion-dollar global facilities management programme covering 40+ countries, one of the company’s largest outsourced spend programmes. We also advise clients on restructuring underperforming arrangements, negotiating exits, and carrying out reprocurement exercises.

We advise on the regulatory dimensions of outsourcing and technology transactions, including data protection, cybersecurity and the Transfer of Undertakings (Protection of Employment) Regulations (TUPE), as well as sector-specific frameworks such as the EBA Guidelines on Outsourcing, DORA, NIS2, and the EU AI Act. We regularly advise technology providers on compliance readiness programmes for their regulated clients.

Procurement

We advise on complex procurement exercises in both the private and public sectors, from structuring competitive tender processes through to term-sheet negotiations and provider selection. Our recent work includes advising a bidder on the Home Office's English language testing services procurement. We provide end-to-end support on high-value public sector opportunities, helping clients navigate procurement processes, manage bids and address procurement challenges where they arise.

Data Centres

We advise investors, developers, operators and occupiers on the legal aspects of data centre and digital infrastructure projects, from colocation and managed services agreements through to development, construction and power arrangements. Our recent work includes advising Ori Industries on a landmark Data Centre and Colocation Services Agreement with Kao Data, enabling Ori to become the first company to deploy NVIDIA H200 chips within a UK data centre for high-performance computing and generative AI workloads.
