Adrian Mawlabaux

My practice focuses on advising sponsors on the structuring and formation of bespoke private funds, investment holding structures and carried interest arrangements, helping clients navigate the complex tax and regulatory landscape to create structures that align with their investment goals. I also represent institutional and private investors making investments into private funds, negotiating fund documents, structuring co-investment opportunities, and advising on side letter arrangements.

My work spans all major private equity strategies, with a particular focus on venture capital, private credit, and real estate. I also have extensive experience advising on private capital investments into professional sports, particularly European professional football, having represented investors on club acquisitions and disposals, loans to English Premier League, Football League and La Liga clubs, and funders on numerous player transfer receivables financing transactions in Europe and South America.

My clients include institutional investors, first-time and solo fund managers, and family offices, working closely with them to support their objectives. Operating cross-border, I advise on vehicles domiciled in Jersey, Guernsey, Delaware, the Cayman Islands, the Republic of Ireland and Luxembourg.

My practice also encompasses a broad range of corporate and debt finance transactions, including private mergers and acquisitions, joint ventures, restructurings, and general corporate advisory. In debt finance, I act for issuers, investors, and servicers on structuring, servicing, and listing single or multi-tranche debt programmes, securitisations, and Eurobond listings.

Beyond my legal practice, I am a UEFA licensed football coach and serve as a trustee of the Tottenham Tribute Trust, a charity created through a joint initiative with Tottenham Hotspur Football Club to assist those connected with the club who have fallen on difficult times.
