I am a corporate lawyer specialising in private fund formation, investor representation and investment transactions.

My practice centres on advising sponsors on the structuring and formation of private funds, carried interest arrangements, and investment holding structures across all major private capital strategies, including private equity, venture capital, private credit, and real estate.

I guide clients through the complex tax and regulatory landscape to create bespoke structures aligned with their investment objectives, acting for institutional investors, first-time and solo fund managers, family offices, and UHNW individuals. I regularly advise on structures domiciled in Jersey, Guernsey, the Cayman Islands and Luxembourg.

I also advise on a broad range of investment transactions, including mergers and acquisitions, joint ventures and private credit transactions. I have extensive experience advising on private capital investments into professional sports, particularly European professional football and motorsport. My sports practice spans club acquisitions and disposals, acquisition financing, loan facilities to Premier League, Football League, and La Liga clubs, athlete representation, and the structuring of investment vehicles for consortia acquiring stakes in professional teams.

Experience

Private fund formation across multiple strategies including a €300 million sports-focused private credit fund, a €200 million real estate-focused private equity fund, a $50 million Cayman Islands domiciled venture capital fund and a £40 million English pre-seed venture capital fund;

Representing institutional and family office clients making investments into private funds domiciled globally across private credit, private equity and venture capital strategies;

Representing former Real Madrid footballer Gareth Bale on his world record transfer from Tottenham Hotspur to Real Madrid, loan move back to Tottenham and personal investments;

Football finance transactions including the securitisation of a €150 million portfolio of football player transfer receivables, the securitisation of broadcasting receivables for a major European club, the acquisition financing of a club competing in the Primera División of LaLiga and various private credit funds on player transfer receivables financings with an aggregate deal value in excess of £1 billion;

Representing a US private equity real estate fund on the sale of the Hotel Saint Barth Isle de France in St Barths to LVMH Moët Hennessy Louis Vuitton;

Advising Clipstone Investment Management on a real estate joint venture transaction with leading US private equity fund Sixth Street;

Structuring and establishing an investment vehicle through which a consortium of investors acquired a minority stake in a Formula One team; and

Advising a Luxembourg-domiciled fund on its joint venture with a UK developer to acquire and develop large-scale residential sites across the UK.
