Private equity is an increasingly important area of our practice. We advise investors and investees on deals typically up to £100m and sometimes beyond.

Our particular strength is undoubtedly in the mid-market. Acting for clients ranging from growth companies, venture capital and private equity houses and hedge funds to entrepreneurs, management teams and high net worth investors, we offer a partner-led, commercially focused service.

We have a strong track record in advising management teams in relation to MBOs and MBIs, where our experience of acting for private equity houses provides a distinct advantage in negotiations.

In addition to our private equity and M&A lawyers, our ability to provide integrated specialist teams of corporate tax, employment, property, commercial, technology, funds and banking and finance lawyers allows us to offer a well managed and full service.

  • Shareholders – advising on sale of majority stake in Swansea City FC
  • KRW Schindler – advising on various investments in UK start up or development capital companies in the FinTech sphere, including Azimo, the online money remittance service provider.
  • Satellite Solutions Worldwide Group plc – advising this AIM listed company on two rounds of investment from Business Growth Fund totalling £12m.
  • Greybull Capital – advised on the acquisition of 140 high street convenience stores from Morrisons. Greybull are turnaround specialists that led the takeover of Monarch Airlines and acquired Tata Steel’s Scunthorpe plant. Greybull backed a team of industry specialists led by retail expert Mike Greene to acquire the 140 store M Local chain.
  • Privet Capital – acquisitions of: Pyser-SGI Group Limited, a Kent-based supplier of sophisticated optical technology products (from management); Aeromet, a UK based manufacturer of metal castings for the aerospace industry (from US based Black Diamond Capital Management); and Cash Processing Solutions Limited from De La Rue plc
  • Zouk Capital – advising on a €40m Series C funding round in iZettle, Europe’s No. 1 provider of mobile payment services and apps.
  • Patron Capital – acquisitions to create a regional office portfolio including the c£75m headline acquisition, by a joint venture between Patron Capital and APAM Ltd, of the Arlington Business Park in Reading from the Arlington Business Parks Partnership and the £30m acquisition, by a joint venture between Patron Capital and Oxlo, of “The Mint”, a highly specified office building in Leeds.
  • Brasserie Blanc – MBO backed by a £20m debt and equity investment from Core Capital.
  • Camino Leisure – £3m investment by the Business Growth Fund in this chain of Spanish tapas bar/restaurants.
  • Bluewater Bio International – £22.5m equity financing round led by specialist cleantech investors Ombu Group and Hermes GPE Environmental Innovation Fund. Bluewater is a provider of high-performance water and wastewater treatment technologies.
  • Syndicates of investors led by New World Private Equity – investments into Shazam, Metail and the serviced apartment company SACO.
  • Blue Coast Private Equity, part of the Lewis Trust Group – £7m investment in the Hut Group, the multi website online retailer.
  • Hamilton Bradshaw – acquisition of the recruitment firm Eden Brown by this investment fund headed by James Caan.
  • West One Loans – acting on the sale of West One Loans to Enterprise Finance backed by private equity fund Livingbridge and the partial reinvestment by management.
  • The Licensing Company – buyout of its minority institutional shareholders and investment by a private equity group led by Wyfold International. The Licensing Company specialises in creating long-term brand extension programmes for some of the world’s leading brands.
  • Swarraton Partners Ltd – private equity investments (with IP Group plc) in Revolymer Ltd and Theragenetics Ltd.
